This Authorization to Represent is entered into between [Brand], hereinafter referred to as the "Brand,"
and PiQR.io owned by LaBeringa s.r.o., having its principal place of business at Korunni 108, Prague, Czechia, hereinafter referred to as the "PiQR"
collectively referred to as the "Parties."
WHEREAS, the Brand is engaged in the manufacturing and distribution of solely Brand's Products which they are legally entitled to manufacture and distribute in all target regions and under respective jurisdictions.
WHEREAS, PiQR is a reputable provider of anti-counterfeiting solutions, specifically the PiQR anti-counterfeiting solution, with the expertise and capabilities to assist the Brand in protecting its products against counterfeiting and negotiating with suppliers on behalf of the Brand;
and
WHEREAS, the Brand wishes to grant the Representative the authority to represent the Brand in matters related to anti-counterfeiting solutions and supplier negotiations, as further described herein.NOW, THEREFORE, for and in consideration of the premises and covenants contained herein, the Parties agree as follows:
Authorization to Represent:
1.1. The Brand hereby authorizes the PiQR to represent the Brand in all matters related to protecting the Brand's products against counterfeiting.
1.2. The PiQR is also authorized to negotiate with suppliers, manufacturers, distributors, and other third parties on behalf of the Brand for the purpose of implementing the PiQR anti-counterfeiting solution.
1.3. The Brand acknowledges that PiQR will act in the best interests of the Brand and will undertake all necessary actions to protect the Brand's products from counterfeiting.
Term:
2.1. This Agreement shall commence on the Effective Date, as defined below, and shall continue in effect until terminated by either Party in accordance with Section 3 herein.
Termination:
3.1. Either Party may terminate this Agreement with written notice to the other Party, provided that such notice is given in accordance with Section 6 (Notices) of this Agreement.
3.2. Upon termination of this Agreement, PiQR shall promptly cease all activities related to representing the Brand in matters of anti-counterfeiting and supplier negotiations.
Confidentiality:
4.1. PiQR agrees to maintain the confidentiality of all information and documents received from the Brand, and to use such information solely for the purpose of fulfilling the obligations under this Agreement.
Revocation of Authorization:
5.1. The Brand reserves the right to revoke the authorization granted under this Agreement at any time, with or without cause, by providing written notice to the PiQR Representative.
5.2. Upon revocation of authorization, PiQR shall promptly cease all activities related to representing the Brand.
Notices:
6.1. All notices required or permitted under this Agreement shall be in writing and delivered via email or certified mail to the addresses specified below:

Governing Law:
7.1. This Agreement shall be governed by and construed in accordance with the laws of European Union, without regard to its conflict of laws principles.
IN WITNESS WHEREOF, the Parties hereto have executed this Authorization to Represent by online confirmation on the PiQR.io and fulfilling the AtR section with AtR signatory's email.
